Author Terms

1. Introduction

Welcome to the Hostiva.tech Author Program! These Author Terms ("Terms") govern your participation as a vendor ("Author," "you," or "your") offering products or services ("Products") through the Hostiva.tech marketplace ("Hostiva," "Platform," "we," "us," or "our").

By registering as an Author and submitting Products to the Platform, you agree to be bound by these Terms, in addition to our general Terms of Use and Privacy Policy.

2. Author Eligibility and Registration

2.1 Eligibility
To become an Author, you must:
- Be at least 18 years old
- Have the legal authority to enter into this agreement
- Offer high-quality AI solutions, software, or related digital products that align with Hostiva's standards
- Provide accurate and complete information during registration

2.2 Registration Process
You must complete the Author registration process, which may include identity verification and review of your proposed Products. We reserve the right to approve or reject Author applications in our sole discretion.

2.3 Account Security
You are responsible for maintaining the confidentiality of your Author account credentials and for all activities that occur under your account.

3. Product Submission and Review

3.1 Product Requirements
All Products submitted must:
- Be original works created by you or works for which you have secured the necessary rights to sell and license through our Platform
- Be high-quality, functional, and accurately described
- Comply with all applicable laws and regulations
- Not infringe on any third-party intellectual property rights
- Adhere to Hostiva's content and quality guidelines

3.2 Submission Process
You must submit Products through the designated Author dashboard, providing all required information, including descriptions, pricing, license terms, documentation, and necessary files.

3.3 Review and Approval
Hostiva reserves the right to review all submitted Products. We may approve, reject, or request modifications to Products in our sole discretion. The review process may take several business days.

3.4 Product Updates
You are responsible for maintaining and updating your Products, including providing bug fixes and necessary updates to ensure continued functionality and compatibility.

4. Pricing, Commissions, and Payments

4.1 Setting Prices
You are responsible for setting the price for your Products, subject to any minimum pricing guidelines set by Hostiva. Prices must be clearly indicated in USD.

4.2 Commission Structure
Hostiva charges a commission on each sale of your Product made through the Platform. The current commission rate is [Insert Commission Rate, e.g., 30%] of the net sale price (sale price minus transaction fees and taxes).

- Exclusive Authors: Authors who agree to sell their Products exclusively on Hostiva may be eligible for a reduced commission rate of [Insert Exclusive Commission Rate, e.g., 20%]. Exclusivity terms will be defined in a separate agreement.

Hostiva reserves the right to change the commission structure with at least 30 days' notice to Authors.

4.3 Transaction Fees
Standard payment processing fees associated with each transaction will be deducted before calculating the commission.

4.4 Payouts
- Payout Schedule: Author earnings (net revenue after commissions and fees) will be paid out on a [Insert Payout Frequency, e.g., monthly] basis.
- Payout Threshold: Payouts will be processed once your accumulated earnings reach a minimum threshold of [Insert Payout Threshold, e.g., $50 USD].

- Tax Information: You are responsible for providing necessary tax documentation (e.g., W-9, W-8BEN) and for paying all applicable taxes on your earnings.

5. Licenses and Intellectual Property

5.1 Grant of License to Hostiva
By submitting a Product, you grant Hostiva a worldwide, non-exclusive, royalty-free license to market, display, promote, sell, and distribute your Product through the Platform.

5.2 Grant of License to Customers
You grant licenses to customers who purchase your Products according to the license terms you specify for each Product (e.g., Standard License, Extended License), consistent with Hostiva's general Licenses Terms.

5.3 Ownership
You retain ownership of your Products and all associated intellectual property rights, subject to the licenses granted herein.

5.4 Representations and Warranties
You represent and warrant that:
- You own or have the necessary rights to grant the licenses described herein
- Your Products do not infringe upon the intellectual property rights or other rights of any third party
- Your Products comply with all applicable laws and Hostiva's policies

6. Author Responsibilities

6.1 Product Support
You are responsible for providing reasonable support to customers who purchase your Products. Support expectations include responding to inquiries, addressing bugs, and providing necessary documentation.

6.2 Accurate Information
You must ensure all information provided about yourself and your Products is accurate, complete, and up-to-date.

6.3 Compliance
You must comply with all applicable laws, regulations, and Hostiva policies, including these Author Terms, Terms of Use, and Privacy Policy.

7. Marketing and Promotion

7.1 Hostiva Promotion
Hostiva may promote your Products through various marketing channels at its discretion.

7.2 Author Promotion
You are encouraged to promote your Products, but you must do so truthfully and in compliance with Hostiva's branding guidelines.

8. Termination

8.1 Termination by Author
You may terminate your Author account at any time by providing written notice to Hostiva. Termination will typically take effect within 30 days, during which time your Products may remain available for sale.

8.2 Termination by Hostiva
Hostiva may suspend or terminate your Author account and remove your Products immediately, without notice, if you:
- Breach these Author Terms or other Hostiva policies
- Provide false or misleading information
- Engage in fraudulent or illegal activities
- Receive consistently poor customer reviews or fail to provide adequate support

8.3 Effect of Termination
Upon termination:
- Your Products will be removed from the Platform
- Licenses granted to existing customers remain valid
- Hostiva will pay out any outstanding earnings according to the regular payout schedule
- Your obligations regarding support for previously sold Products may continue for a reasonable period

9. Indemnification

You agree to indemnify, defend, and hold harmless Hostiva, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
- Your Products
- Your breach of these Author Terms
- Any claim that your Products infringe upon third-party rights
- Your interactions with customers

10. Limitation of Liability

Hostiva's liability to you in connection with these Author Terms or your participation in the Author Program is limited to the total amount of commissions paid by Hostiva to you in the six (6) months preceding the event giving rise to the liability.

11. Changes to Author Terms

We may update these Author Terms from time to time. We will notify Authors of any material changes. Your continued participation in the Author Program after such notification constitutes acceptance of the updated Terms.

12. Governing Law

These Author Terms are governed by the laws of the United Arab Emirates.
